UGC Terms of Use

These additional terms for use of your user generated content (“UGC”) by Sonsie Skin (these “UGC Terms”) are in addition to, and not in lieu of, your rights and obligations under Sonsie Skin’s Terms of Use (the “Standard Terms”).

By replying with #SonsieSkin and/or #Sonsie in response to a request from an official Sonsie Skin account to use your UGC, you agree to these UGC Terms and the Standard Terms. Simply tagging or using #SonsieSkin or #Sonsie in your own post, without replying to such a request, does not by itself grant these rights. If you do not agree to these UGC Terms and the Standard Terms, do not reply #SonsieSkin and/or #Sonsie. To the extent there is a conflict between these UGC Terms and the Standard Terms, these UGC Terms will govern such conflict. Sonsie Skin may modify or amend these UGC Terms in its sole discretion by posting the modified or amended UGC Terms on our Services and/or by email notification (if we so choose). Capitalized terms used but not otherwise defined in these UGC Terms have the meanings set forth in the Standard Terms.

By “UGC” we mean video(s), photo(s) and/or other user generated content posted online (e.g., Instagram, Facebook, TikTok, X (formerly Twitter), or other platform) together with your name, username, social media handle, profile picture, likeness and any caption and location information provided in connection with or that may be associated with such content.

License

You hereby grant Sonsie Skin Inc. and any current or future subsidiaries or affiliated entities (collectively, “Sonsie Skin” or “we”) a perpetual, worldwide, royalty-free, non-exclusive, transferable, fully paid, and sublicensable right to use, reproduce, modify, adapt, delete, publish, translate, create derivative works from, distribute, publicly perform and display the UGC in any media formats and channels now known or later developed, including but not limited to on its webpages, social media pages and other digital media, newsletters, retailer sites, third party sites, print materials, in-store materials, television and other broadcast media, for marketing, advertising, or other purposes.

Although we may edit, crop, or adapt your UGC (for example, for length, format, or platform requirements), we will not edit your UGC in a way that changes the substance of your opinion or experience. We may also choose not to use, or to edit out, any portion of your UGC that makes medical or therapeutic claims.

You acknowledge that you are not entitled to any compensation, payment, or other consideration for Sonsie Skin’s use of the UGC as permitted by these UGC Terms. To the fullest extent permitted by applicable law, you waive any moral rights, rights of attribution or integrity, and rights of publicity or privacy you may have in the UGC with respect to Sonsie Skin’s use of the UGC as permitted by these UGC Terms. Sonsie Skin is under no obligation to use the UGC.

Commitments from You

You hereby represent and warrant that:

• You own all rights in and to the UGC.
• You have permission from any person(s) appearing in the UGC to grant the rights herein on their behalf, and Sonsie Skin’s use of the UGC as provided herein will not violate the intellectual property rights or other rights of, or cause injury to, any person or entity.
• Neither you nor any other person(s) appearing in the UGC are under 18 years of age.
• The UGC is a true and accurate expression of your honest opinion based on your actual use of Sonsie Skin products.
• The UGC does not misrepresent your affiliation with any person or entity.
• If you have received free product, payment, or any other benefit from Sonsie Skin, you have clearly and conspicuously disclosed that relationship in the UGC (for example, using #gifted, #ad, or #SonsiePartner), and you will continue to do so in any future content about Sonsie Skin.

You acknowledge that Sonsie Skin may add disclosures to the UGC when we use it, including disclosures of any material connection between you and Sonsie Skin.

To the fullest extent permitted by applicable law, you release Sonsie Skin and our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees from responsibility, liability, claims, demands and/or damages (actual and consequential) of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related in any way to the UGC.

We will review requests in good faith; however, we may not be able to remove UGC from materials that have already been produced, distributed, or published.
